1. Modifications to Terms

Shadowdesk reserves the right to modify these Terms at any time in its sole discretion. Updated Terms will be posted on the Website with a revised “Last Updated” date. Continued use of the Website after such changes constitutes acceptance of the revised Terms.

2. Website Use and Access

The Website is provided for:

• Informational purposes
• Business inquiries
• Service-related communications
• Purchasing services offered by Shadowdesk

Some areas of the Website are password protected and available only to members and clients. Where an account is issued to you, you are responsible for keeping your credentials confidential and for all activity that occurs under your account. You agree to notify Shadowdesk promptly if you believe your account has been used without your permission.

Use of the Website is limited to lawful business purposes only.

3. Services, Payment, and Fees

Shadowdesk offers the AI Operating System Setup Session (the “Setup Session”), a two-hour done-with-you working session in which Shadowdesk audits the tools you already use, configures an AI operations manager around them, and connects it to your own accounts.

The Setup Session is priced at $597 in U.S. dollars, charged one time, in full, at the time of purchase. There is no subscription, no recurring charge, and no additional fee for the Setup Session itself. The price shown on the Website at the time of your purchase is the price that applies to you, except where Shadowdesk has separately honored a different rate through a discount code issued directly to you.

Payments are processed by Stripe, Inc. By purchasing, you agree to Stripe’s terms in addition to these Terms. Shadowdesk does not receive or store your full card number. You represent that you are authorized to use the payment method you provide.

You are responsible for any third-party costs required to run what we build, including subscriptions to tools and AI providers you choose to use. Those costs are billed to you by those providers, not by Shadowdesk. Any additional work beyond the Setup Session, including ongoing product coaching, is quoted and agreed separately in writing.

4. Refunds and Guarantees

Shadowdesk publishes the following guarantees on the Website and honors them as terms of this agreement.

a. If it does not work, the setup is free.

If your system is not performing real work in your own tools by the end of your Setup Session, Shadowdesk will refund the full amount you paid. To claim this, tell us before the end of the session, or in writing within seven (7) days of the session.

b. First automation live in 90 days, or your money back.

If your first automation is not live within ninety (90) days of your Setup Session, Shadowdesk will refund every dollar you have paid us. This guarantee is conditioned on your participation: you must attend your scheduled session, provide the access and information reasonably required to complete the work, and complete the follow-up steps assigned to you. If the work cannot proceed because you do not participate, this guarantee does not apply.

c. You own everything we build.

Everything Shadowdesk configures for you during the Setup Session lives in your own accounts and belongs to you. There is nothing to cancel, and a refund does not require you to give any of it back. This does not transfer ownership of Shadowdesk’s own pre-existing tools, templates, skills, or methods, which are licensed to you for your internal business use and remain covered by Section 6.

Approved refunds are issued to the original payment method within ten (10) business days. To request a refund under any guarantee above, email nick@shadowdesk.ai. Except as stated in this section, fees are non-refundable.

5. Scheduling, Rescheduling, and No-shows

After purchase you will be given a link to schedule your Setup Session. Sessions are booked subject to availability and must be scheduled within one hundred eighty (180) days of purchase.

You may reschedule at no charge with at least twenty-four (24) hours notice, using the link in your confirmation email or by emailing nick@shadowdesk.ai. Shadowdesk may also reschedule, and will give you as much notice as it reasonably can.

If you do not attend a scheduled session and did not reschedule with the required notice, Shadowdesk will make a reasonable effort to rebook you once. Repeated no-shows may be treated as a completed session, and the guarantees in Section 4 do not cover a session you did not attend.

6. Intellectual Property Rights

All content on the Website, including but not limited to text, graphics, logos, software, design elements, and underlying technology (collectively, the “Content”), is owned by or licensed to Shadowdesk and is protected by U.S. and international intellectual property laws.

You may not:

• Copy, modify, distribute, or create derivative works from the Website or Content
• Reverse engineer, decompile, or attempt to extract source code
• Use the Website or Content to compete with Shadowdesk
• Remove proprietary notices or branding

No license is granted except as expressly stated in these Terms.

7. Client Representations

By using the Website, you represent and warrant that:

• Any information you submit is accurate and truthful
• You will use the Website only for lawful purposes
• You will not attempt to interfere with Website operations
• You will not use automated systems (bots, scrapers, scripts) to access the Website
• Your use will not violate any applicable law or regulation

Shadowdesk reserves the right to restrict or terminate access for violations of these Terms.

8. Third-Party Ai and Tools

Shadowdesk may utilize third-party tools, including artificial intelligence providers, to support its services.

• Any data submitted through the Website may be processed by third-party providers solely to deliver or improve services
• Shadowdesk does not permit third-party providers to independently exploit data for unauthorized purposes, subject to provider policies

9. Confidentiality

Any non-public business, technical, or proprietary information disclosed between you and Shadowdesk shall be treated as confidential and used solely for legitimate business purposes, unless disclosure is required by law or otherwise permitted in writing.

10. Prohibited Activities

You agree not to:

• Use the Website for illegal or unauthorized purposes
• Introduce malware, viruses, or harmful code
• Attempt unauthorized access to the Website or its infrastructure
• Harass or threaten Shadowdesk personnel
• Use the Website in a way that disrupts performance or security

11. Submissions and Feedback

Any feedback, suggestions, or other submissions you provide to Shadowdesk are deemed non-confidential and may be used by Shadowdesk for any lawful purpose without compensation or attribution.

12. Privacy Policy

By using the Website, you consent to the collection and use of information as described therein.

13. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SHADOWDESK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHADOWDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE.

IF LIABILITY IS FOUND, SHADOWDESK'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT PAID BY YOU TO SHADOWDESK IN THE SIX (6) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify and hold harmless Shadowdesk from any claims, damages, liabilities, or expenses arising from:

• Your use of the Website
• Your violation of these Terms
• Your violation of applicable laws or third-party rights

16. Website Availability

Shadowdesk may modify, suspend, or discontinue the Website at any time without notice. We do not guarantee uninterrupted availability.

17. Governing Law

These Terms are governed by and construed under the laws of the State of Ohio, without regard to conflict-of-law principles.

18. Dispute Resolution

Any dispute arising under these Terms shall first be attempted to be resolved through informal negotiation. If unresolved, disputes shall be resolved by binding arbitration administered by the American Arbitration Association, unless prohibited by law.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Shadowdesk regarding use of the Website.
